Terms of Service for UIO

Introduction

Welcome to UIO, a cross-platform desktop application developed by Istiana LLC ("Company", "we", "us", "our"). By accessing or using UIO, you ("User", "you") agree to be bound by these Terms of Service ("ToS"). These ToS govern your access to and use of UIO, including any updates, new features, or enhancements to the application. If you do not agree to these ToS, you must not use UIO.

License to Use UIO

We grant you a non-exclusive, non-transferable, revocable license to use UIO for personal, non-commercial purposes, subject to these ToS.

Functionality

UIO offers functionalities including, but not limited to, defining and executing system key shortcuts, recording audio, tracking mouse movements, capturing screenshots, and sending these inputs to external AI services for inference.

User Responsibilities

  • You must comply with the ToS of all external services (including OpenAI, Together.AI, Perplexity) used in conjunction with UIO.
  • You agree not to use UIO for any unlawful purposes or in a manner that violates the rights of others.
  • You are responsible for maintaining the confidentiality of any login information associated with your use of UIO.
  • You must ensure your use of UIO does not negatively impact the app's functionality, security, or availability to other users.

Data Collection and Privacy

  • UIO may collect user data as described in our Privacy Policy, which is incorporated herein by reference.
  • You consent to the collection, use, and sharing of your data in accordance with the Privacy Policy.
  • Anonymized error messages may be collected to improve UIO.

Updates and Auto-Update Requirement

  • UIO requires that auto-updates are enabled on your device to ensure you receive the latest security patches, bug fixes, and features.
  • Failing to update UIO may result in restricted access or functionality.

Indemnification

You agree to indemnify and hold harmless Istiana LLC and its affiliates, officers, agents, and employees from any claim or demand made by any third party due to or arising out of your breach of these ToS or your violation of any law or the rights of a third party.

Governing Law and Dispute Resolution

These ToS shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these ToS shall be resolved through binding arbitration in Dover, Delaware.
